FileTally End User License Agreement (EULA)
Version: 2026-10-06

IMPORTANT: PLEASE READ THIS AGREEMENT CAREFULLY. BY INSTALLING, ACTIVATING, SIGNING IN TO, OR USING FILETALLY, YOU AGREE TO THIS AGREEMENT. IF YOU USE FILETALLY FOR AN ORGANIZATION, YOU AGREE ON ITS BEHALF AND CONFIRM THAT YOU ARE AUTHORIZED TO DO SO.

In this agreement, "FileTally", "we" and "us" mean the developer and licensor of the FileTally software, as identified on the FileTally App Store listing, and "you" means the person or organization using it.

1. License grant
FileTally grants you a limited, non-exclusive, non-transferable, revocable license to install and use FileTally on devices you own or control, in accordance with the access level that applies to your free use, trial or purchase. A paid FileTally license may be used on all devices you own or control, with no device or seat limit, and does not expire. It ends only as described in sections 9 and 12.

2. Free, trial and paid use
FileTally may be offered free of charge, as a time-limited trial, as a paid license or as a subscription. Free use and trials may be limited in features, duration, number of devices or volume, and FileTally may change, limit or end free access in a later release or on notice. Free use does not create a right to continued free access. Paid use is governed by the entitlement associated with your account, purchase email, license key or file, App Store purchase, activation state, and any replacement or refund action taken by FileTally support or the store you purchased from. Ending a trial or free access does not delete your local files, and saved scans remain viewable in supported FileTally versions.

3. Accounts and sign-in
Local scanning and restoring Apple purchases do not require a FileTally account. Some future features, such as linking purchases across platforms or managing organization access, may require sign-in. You may sign in with an email address, a supported third-party sign-in service, or your organization's single sign-on. You are responsible for keeping your sign-in credentials secure and for activity under your account that is reasonably within your control. If an organization provides your access, that organization may manage or remove your access, and its administrators may see access and activation information associated with your account. FileTally may suspend or close accounts used to bypass licensing or to violate this agreement. Offline license keys are available for eligible direct-download and organization deployments. Some license types require initial online activation or periodic renewal, as disclosed before purchase.

4. Purchases
Purchases made on the FileTally website are processed by Stripe. Purchases made in an Apple app store are processed by Apple under Apple's terms, and Apple handles their billing, cancellation and refunds. If FileTally offers a subscription, it renews automatically at the disclosed price and interval until cancelled; cancel website subscriptions through FileTally's online billing controls and Apple subscriptions through Apple's subscription settings. Uninstalling the app or deleting your account does not cancel a subscription. Free use never becomes paid without your express purchase. A license bought on the FileTally website works with the FileTally apps downloaded from the FileTally website. A purchase made in an Apple app store works with FileTally apps from that store signed in to the same Apple account, as Apple's rules allow. A purchase from one channel does not currently unlock apps from the other. Any future linking will be described when it is offered and will follow Apple's applicable rules.

5. Restrictions
You may not:
- reverse engineer, decompile, or disassemble FileTally except where applicable law expressly allows it;
- bypass, tamper with, or interfere with licensing, activation or account controls;
- share account credentials or license keys with other people or organizations;
- redistribute, sublicense, rent, lease, resell, or host FileTally for third-party use unless FileTally expressly authorizes that arrangement in writing;
- use FileTally in connection with unlawful activity or in a way that violates another party's rights.

6. Your responsibility for output and review
FileTally is a utility that helps count pages, measure document content and export document indexes. You remain responsible for reviewing results, confirming accuracy for your workflow, and deciding whether any provisional, unsupported, failed, excluded or flagged items require manual handling before relying on the output. FileTally is not a substitute for legal advice, evidentiary review or professional judgment.

7. Privacy and local processing
FileTally is designed for local document processing on your own device (Mac, Windows PC, iPad or iPhone). Scanning, duplicate checks and exports do not upload your source documents or their contents to FileTally servers. Signing in, licensing, purchases and support involve the limited data described in FileTally's Privacy Notice.

8. Updates and changes
FileTally may release updates, fixes, packaging changes, and policy changes over time. Continued use of a newer release may require acceptance of an updated agreement or updated notices. If a change materially reduces the rights of a paid license, it will not apply to that license without your agreement.

9. Support, refunds, and replacements
Support is handled by email for accounts, activation, purchase, replacement, resend, and refund issues. Refunds for App Store purchases are requested through Apple's process, without limiting your rights under applicable law or section 13(d). Refunds, replacements, and license corrections may result in revocation, replacement, or modification of the associated entitlement where appropriate.

10. Disclaimer of warranties
FILETALLY IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, FILETALLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND THAT RESULTS WILL BE COMPLETE, ERROR-FREE, OR SUITABLE FOR YOUR PARTICULAR MATTER.

11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FILETALLY AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR OPPORTUNITY, ARISING OUT OF OR RELATING TO FILETALLY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FILETALLY'S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO FILETALLY WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE APPLICABLE LICENSE OR SUBSCRIPTION IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US $100.

NOTHING IN THIS AGREEMENT OR THE SUPPORT POLICY LIMITS RIGHTS, REMEDIES OR LIABILITY THAT APPLICABLE LAW DOES NOT PERMIT FILETALLY TO EXCLUDE.

12. Termination
This agreement terminates automatically if you materially breach it. On termination, you must stop using FileTally and delete or uninstall the software. Sections that by their nature should survive termination will survive, including restrictions, disclaimers, limitation of liability, and responsibility for output review.

13. Additional terms for apps obtained from Apple
If you obtained FileTally from an Apple app store, the following terms also apply and control over any conflicting term above:
(a) This agreement is between you and FileTally only, not Apple. FileTally, not Apple, is solely responsible for FileTally and its content.
(b) Your license is limited to using FileTally on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that FileTally may be accessed by other accounts associated with you through Family Sharing or volume purchasing.
(c) FileTally is solely responsible for providing any maintenance and support for FileTally. Apple has no obligation to provide maintenance or support. FileTally provides the maintenance and support required by applicable law and as described in its Support Policy.
(d) If FileTally fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any, for FileTally. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to FileTally. Any other claims, losses, liabilities, damages, costs or expenses attributable to a failure to conform to a warranty are FileTally's responsibility subject only to exclusions permitted by applicable law.
(e) FileTally, not Apple, is responsible for addressing any claims by you or a third party relating to FileTally or your possession or use of it, including product liability claims, claims that FileTally fails to conform to a legal or regulatory requirement, and claims under consumer protection, privacy or similar laws.
(f) If a third party claims that FileTally or your possession and use of it infringes that third party's intellectual property rights, FileTally, not Apple, is solely responsible for the investigation, defense, settlement and discharge of that claim.
(g) You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated by the U.S. Government as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
(h) You must comply with applicable third-party terms of agreement when using FileTally.
(i) Apple and its subsidiaries are third-party beneficiaries of this agreement, and on your acceptance of it, Apple will have the right (and will be deemed to have accepted the right) to enforce it against you as a third-party beneficiary.
